1. Usage Agreement

By accessing or using the services provided by Vrooms Ltd. (hereinafter referred to as "the Company"), you agree to be bound by the following terms and conditions.

2. Service Access

2.1 Access to the Company's services is granted on a temporary basis and may be subject to change or termination without prior notice.
2.2 The Company reserves the right to refuse service to anyone at any time for any reason.

3. User Responsibilities

3.1 Users are responsible for maintaining the confidentiality of their account credentials and for all activities that occur under their account.
3.2 Users agree not to engage in any unlawful or prohibited activities while using the Company's services.

4. Intellectual Property

All content and materials provided by the Company, including but not limited to text, graphics, logos, and images, are the property of the Company and are protected by copyright laws.

5. Limitation of Liability

The Company shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use or inability to use the services provided.

6. Indemnification

Users agree to indemnify and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses arising out of or in any way related to the user's use of the Company's services.

7. Governing Law

These terms and conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of India.

8. Changes to Terms

The Company reserves the right to modify or revise these terms and conditions at any time without prior notice. By continuing to use the Company's services after such changes, users agree to be bound by the updated terms and conditions.

1. Introduction

This Company Policy outlines the terms and conditions governing the relationship between Vrooms Ltd. (hereinafter referred to as "the Company") and builders or brokers (hereinafter referred to as "Partners") regarding the sharing of brokerage amounts generated through leads provided by the Company. This policy is in compliance with the laws and regulations of India.

2. Lead Generation and Transfer

2.1 The Company generates leads for real estate rental or property purchases through a complex marketing procedure utilizing various social media websites.
2.2 The leads generated by the Company will be transferred to a designated Relationship Manager (RM) based on the respective area in India.

3. Role and Responsibilities of the Relationship Manager

3.1 The Relationship Manager will be responsible for building and expanding a network of brokers or real estate agents under their supervision.
3.2 The Relationship Manager shall ensure the timely and efficient transfer of leads to the brokers within their network.
3.3 The Relationship Manager will oversee the conversion of leads provided to the brokers, aiming to achieve the highest possible conversion ratio.
3.4 The Relationship Manager is responsible for extracting the brokerage amount from the broker upon successful conversion.
3.5 The Relationship Manager will distribute the brokerage amount as follows:
- 50% of the brokerage amount shall be given to the broker.
- The remaining 50% shall be transferred to the Company.
3.6 At the end of each month, the Company will calculate the brokerage earned by the Relationship Manager based on their conversion ratio. The Relationship Manager will be entitled to a certain percentage of the brokerage earned, as agreed upon by the Company and the Relationship Manager.

4. Agreement with Builders or Brokers

4.1 Any agreement entered into between the Company and a builder or broker must specify the sharing of brokerage amount as a 50-50 split between the two parties.
4.2 The terms of the agreement shall be in compliance with the relevant laws and regulations of India.

5. Lead Provision and Documentation

5.1 Vrooms Ltd. shall provide various types of leads for individuals seeking rental properties in specific areas.
5.2 The Company will provide leads to the builders/brokers through communication channels such as WhatsApp.
5.3 A comprehensive list of all leads provided by Vrooms Ltd. shall be compiled and emailed to the respective builders/brokers every 30 days, provided that an email address has been provided.

6. Brokerage Payment

6.1 The brokerage payment from the broker to the Company shall be made within 15 days from the date of lead provision.
6.2 The payment of brokerage shall be made through a mutually agreed-upon payment method, ensuring compliance with applicable laws and regulations.

7. Compliance with Indian Laws

7.1 All aspects of this policy shall be in compliance with the laws, regulations, and guidelines set forth by the Government of India, including but not limited to real estate, consumer protection, and data privacy laws.
7.2 The Company shall regularly review and update this policy as necessary to ensure ongoing compliance with Indian laws.

8. Policy Acknowledgment

8.1 All Relationship Managers, builders, and brokers working with Vrooms Ltd. shall acknowledge and adhere to this Company Policy.
8.2 Failure to comply with this policy may result in disciplinary action, including termination of partnership or employment, as per the Company's discretion.
